1. Agreement to Terms

By signing in to or using StoXLyze ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

2. Description of Service

StoXLyze is an AI-powered stock analysis and research platform that provides charts, technical indicators, news sentiment analysis, earnings calendars, and similar tools for informational and educational purposes. The Service is not a broker, exchange, or trading platform. You cannot buy or sell securities through StoXLyze.

3. Not Financial Advice

Important: All content, data, charts, predictions, sentiment analysis, and other materials on the Platform are for informational and research purposes only. Nothing on the Platform constitutes financial, investment, legal, or tax advice. You should consult qualified professionals before making any investment decisions. Past performance and predictions are not indicative of future results.

4. No Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be accurate, complete, reliable, uninterrupted, or error-free. Data may be delayed or incorrect. We disclaim all warranties, express or implied.

5. User Responsibilities

You agree to:

• Use the Service only for lawful purposes and in compliance with applicable laws
• Not use the Service for any fraudulent, abusive, or illegal activity
• Not attempt to gain unauthorized access to the Service, other users' accounts, or our systems
• Not scrape, copy, or resell data or content without permission
• Provide accurate information when signing in (e.g., via Discord)

6. Account and Conduct

Your access is tied to your Discord account. You are responsible for maintaining the security of your Discord credentials. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion.

7. Intellectual Property

StoXLyze, its name, logo, design, and content (excluding third-party data sources) are our intellectual property. You may not copy, modify, or create derivative works without our permission. Market data and news are provided by third parties and subject to their terms.

8. Limitation of Liability

To the maximum extent permitted by law, StoXLyze and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless StoXLyze and its operators from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Privacy

We collect and use information as described in our practices (e.g., Discord profile for sign-in, session data). We do not sell your personal data. By using the Service, you consent to such collection and use.

11. Subscription and Payments

Certain features require a paid Plus subscription. Subscriptions are billed via Stripe. Refund and cancellation terms are governed by our payment processor and any notices we provide at checkout.

12. Termination

We may terminate or suspend your access at any time. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., Limitation of Liability, Indemnification) shall survive.

13. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms. Material changes may be communicated via the Platform or email where practicable.

14. Governing Law

These Terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.

15. General

If any provision of these Terms is held invalid, the remaining provisions shall continue in effect. Our failure to enforce any right does not waive that right. These Terms constitute the entire agreement between you and StoXLyze regarding the Service.
